JBRP Corp. – Supplier Terms and Conditions
These Terms and Conditions apply to all suppliers of goods and services to JBRP Corp. By accepting a purchase order or contract from JBRP Corp., the Supplier agrees to comply with the following requirements.
1. Quality Management System
Suppliers shall maintain a quality management system appropriate to the products and services provided. Preference is given to suppliers certified to AS9100, ISO 9001, or equivalent standards.
2. Right of Access
JBRP Corp., its customers, and applicable regulatory authorities shall have the right of access to the Supplier’s facilities, processes, products, and applicable records at any level of the supply chain.
3. Product Conformity & Safety
- Supplier shall ensure products and services conform to all applicable specifications, drawings, and requirements.
- Supplier shall promptly notify JBRP Corp. of any nonconforming processes, products, or services and obtain approval for disposition.
- Supplier shall ensure employees are aware of:
- Their contribution to product conformity and safety,
- Their role in preventing counterfeit parts, and
- The importance of ethical behavior in business conduct.
4. Counterfeit Parts Prevention
Supplier shall implement and maintain effective processes to prevent the use or delivery of counterfeit or suspect counterfeit parts.
5. Flow-Down Requirements
Supplier shall flow down all applicable requirements—including customer, statutory, regulatory, and AS9100-specific requirements—to its sub-tier suppliers.
6. Change Control
Supplier shall notify JBRP Corp. in writing of any changes in product, process, service, sub-suppliers, or manufacturing location, and shall not proceed without written approval.
7. Record Retention
Supplier shall maintain quality records for a minimum of 10 years unless otherwise specified by JBRP Corp. Records shall be readily available upon request.
8. Delivery, Handling, and Packaging
Supplier shall ensure all items are handled, preserved, and packaged appropriately to prevent damage or deterioration. Delivery shall conform to purchase order requirements.
9. Nonconforming Material
Nonconforming material shall be clearly identified, segregated, and reported to JBRP Corp. for disposition instructions. Unauthorized shipments of nonconforming material may be rejected and returned at Supplier’s expense.
10. Competence & Training
Supplier shall ensure that personnel performing work affecting product quality are competent, properly trained, and aware of their responsibilities, including ethical conduct.
11. Confidentiality
All technical, business, or proprietary information provided by JBRP Corp. shall remain confidential and may not be disclosed to third parties without prior written consent.
12. Compliance with Laws and Regulations
Supplier shall comply with all applicable laws, regulations, and requirements, including export control regulations, safety standards, and environmental laws.
13. Subcontracting
Supplier shall not subcontract work related to JBRP Corp. purchase orders without written approval. Approved subcontracting does not relieve Supplier of responsibility for quality and compliance.
14. Right of Rejection & Corrective Action
JBRP Corp. reserves the right to reject nonconforming product and require corrective actions. Suppliers with repeated nonconformances may be subject to removal from JBRP Corp.’s Approved Supplier List.
15. Ethical Standards
Supplier shall conduct business with integrity and in compliance with ethical standards, free from conflicts of interest, improper influence, or bribery.
